El 34,75% del capital social de Unión Fenosa y el 69,54% de los derechos de voto a los que se dirigía la oferta han aceptado la opa de Gas Natural y, al final del proceso, la gasista será titular del 95,22% del capital social de Unión Fenosa.
La oferta de Gas Natural sobre la eléctrica se dirigía de manera efectiva al 49,98% del capital que aún no controlaba Gas Natural, 456,8 millones de acciones a un precio unitario de 18,05 euros.
Según un comunicado remitido a la Comisión Nacional del Mercado de Valores (CNMV), la oferta, cuyo plazo de aceptación terminó el pasado 14 de abril, ha sido aceptada por el 69,54% de los derechos de voto a los que se dirigía de forma efectiva y por el 34,75% del capital social de Unión Fenosa.
Tras la liquidación de la oferta, Gas Natural será titular de un 84,77% del capital social de Unión Fenosa y, una vez liquidados los instrumentos financieros suscritos con diversas entidades bancarias y el contrato de compraventa de acciones a los que se refiere el folleto de la opa, cuya liquidación tendrá lugar sobre el 30 de abril, la gasista será titular del 95,22% del capital social de Unión Fenosa.
Gas Natural no solicitará a los accionistas de Unión Fenosa la venta forzosa de sus acciones y los accionistas de Unión Fenosa no podrán solicitar a Gas Natural la compra forzosa de sus acciones.
