Criteria Caixacorp, el holding de participaciones de la caja de ahorros La Caixa, dijo el jueves que venderá entre el 20 y el 30 por ciento de Aguas de Barcelona a la francesa Suez Environnment por 20 euros por acción.
Esta operación irá acompañada de la presentación de una opa de exclusión por parte de Suez sobre el 10 por ciento del capital de Agbar en manos de minoritarias, explicó el holding.
De esta forma, Suez elevará su participación actual en Agbar del 46 por ciento al 75 por ciento.
"Una vez concluida la OPA, y en función del grado de aceptación de la misma, Criteria venderá a Suez Environnement la parte de su participación en Agbar que sea necesaria para que Suez Environnement alcance una participación del 75,01 por ciento de Agbar, en una transacción valorada entre 647 y 871 millones de euros", dijo Criteria.
La operación generará para Criteria unas plusvalías netas del orden de los 150 millones de euros.
Como contrapartida, Criteria adquirirá la compañía de seguros Adeslas, controlada ahora por Agbar y por la empresa francesa Malakoff Médéric.
Criteria dijo que invertirá 1.178 millones de euros en esta operación.
La CNMV suspendió esta mañana la negociación de las acciones de Criteria y de Agbar.
